BY LAWS FOR THE MID AMERICA DAIRY GOAT CLUB

ARTICLE I. NAME

The name of this club is the Mid America Dairy Goat Club and also shall be known by the initials MADGC.

ARTICLE II. PURPOSE

As a not for profit public benefit club, incorporated in the state of Missouri, our purpose is to support the dairy goat industry.


ARTICLE III. OFFICERS

The MADGC shall have four (4) officers. President, Vice President, Secretary, Treasurer.

Club officers shall be elected, by a simple majority, for a term of two (2) years. Club officers can not hold a particular position for more than two (2) consecutive terms.  Elections should be held at the meeting during the yearly show.

President, duties and responsibilities. The president shall preside over all club meetings. They shall be a voting member of each and every committee formed by the club. They should attend the club show unless hindered by a valid reason.

Vice President, duties and responsibilities. The vice president will assume all the presidential duties when the president can not or will not perform those duties and responsibilities. They should attend the club show unless hindered by a valid reason.

Secretary, duties and responsibilities. The secretary will keep the minutes of all meetings. They will provide each club member the opportunity to view the meeting minutes in a format the secretary finds practical. They should attend the club show unless hindered by a valid reason. If the secretary can not attend a club meeting, they will be responsible for contacting another club officer to find a suitable replacement for the meeting.

Treasurer, duties and responsibilities. The treasurer will set up a club checking account at a financial institution that is convenient for the treasurer. This checking account will also allow the club president to be an authorized signee for all checks. They will keep complete and accurate records of all monies received and spent. They will provide information regarding the club's checking account, or any other club account, at each club meeting for the members to review. If the treasurer can not attend a meeting, they will be responsible for contacting another club officer to find a suitable replacement for the meeting. The Treasurer will present all financial documents to the club audit committee when requested.

SUCCESSION OF OFFICERS

President. If the club president resigns, or is voted out of office after a properly submitted motion and upon a two-thirds (2/3) majority vote of those members present. The Vice President will assume their duties and responsibilities. An election to fill this position will be held as soon as possible.

Vice President. If the Vice President resigns, or is voted out of office after a properly submitted motion and upon a two-thirds (2/3) majority vote of those members present. The President shall immediately appoint a replacement from a list of current club members until an election can be held.

Secretary. If the Secretary resigns, or is voted out of office after a properly submitted motion and upon a two-thirds (2/3) majority vote of those members present. The President shall immediately appoint a replacement from a list of current club members until an election can be held.

Treasurer. If the Treasurer resigns, or is voted out of office after a properly submitted motion and upon a two-thirds (2/3) majority vote of those members present. The President shall immediately appoint a replacement from a list of current club members until an election can be held.


ARTICLE IV. DUES

Club dues are $5.00 per person and can be paid annually to the club treasurer. The Club year for MADGC runs from Memorial Day weekend to the next year's Memorial Day weekend.


ARTICLE V. CLUB MEETINGS

Club meetings shall be scheduled as needed by the club President.

An agenda for each meeting will be made available to the members.

A quorum will be considered at least fifty (50) percent of the members of the club.

All members need to attend at least one (1) meeting in each calendar year. To facilitate this, the club will hold a meeting during our annual show.

Because the majority of the members of the Mid-America Dairy Goat Club live a distance from where the meetings are held, which causes difficulty in having a quorum at the meeting, discussion and voting may be done on a private group of social media. Since all club members have access to the group, a quorum will always exist. Voting may continue to be held at meetings where there is a quorum present.

ARTICLE VI. COMMITTEES

As the Mid America Dairy Goat Club is a small club, the number of members on any committee shall not be limited. Participation in committee work is highly recommended, everyone needs to be involved.

Committees shall be formed as needed.

The club president shall be a member of each committee.

The MADGC currently has three (3) committees.
